So pretty much as the title implies I think rebuttal should upgrade into counterspell, the two have really good synergy and have two things in common being that they are both parry items and that a successful parry heals you.
In terms of similar item upgrades it seems like a natural evolution to me in the same way that most items have a base bonus/ability which is then backed up with a second bonus on upgrade or the same bonus but buffed slightly, so to me it seems like having a heal on parry should upgrade into to a heal on ability parry just feels again like a natural evolution between the two items.
Now in terms of balancing, you actually wouldn't need to do anything really as far as I can tell at least? As far as I know, and correct me if I'm wrong, but Rebuttal's parry cooldown reduction doesn't affect the cooldown of Counterspell so that wouldn't change how using it correctly is a form of skill expression and utility.
P.s I think that Counterspell should heal a percentage instead of a flat amount because managing to parry an ability or ult is supposed to help you survive and a 150hp heal is like a piss in the wind even if you get it early in a match. I don't know what percent heal would work best but it's an item I tend to keep until the end of the game as it's really useful early on to for survival but its incredible for counterplay and survival into the late game in my opinion. (I just love Counterspell and want to see it get it's flowers.)
