That is actively worse than Rebuttal as the primary benefit OF rebuttal is the reduced Parry CD. The extra bonus damage and healing are just icing on the cake.
Upgrades should have both the base passive of their components as well as new effects. This is how items and their upgrades work in Deadlock (Literally every other item works this way).
No one would ever upgrade Rebuttal into this.
