Counterspell will block abilities that create stacks when there is no stacks normally, such as Shiv knives. Mirage marks, Haze fixation, siphon bullets, etc. Once a single stack has been applied, counterspell will only counter the initial damage, but it will still add a stack to the character hit.

As said in the title Lady Geist heals 3 health when her ult gets countered with counter spell.

Shiv will take damage (most likely due to bloodletting) even when successfully using counterspell against Lady Geist Ult. This gets worse when rage is at it's maximum (enhancing bloodletting).
