Not a bad item, though I would suggest it have a cap. Typically the sweet spot for things like this is between 40-60% of HP.

HoN had a hero (Maliken) with a similar effect that increased his attack speed the lower his HP was. He would get incredibly broken below 20% HP (as in he would outheal basically all damage due to his built in lifesteal and would build lifesteal too). The best way to balance something like this is to make it so that it doesn't get too extreme at ultra low HP values.

Seeing how it would be like +20% at 40% it wouldnt be bad to not have a cap
